INC-20A Filing: Declaration for Commencement of Business

Incorporating a company in India is just the beginning of a long journey toward establishing a successful business. One of the critical compliance requirements that newly incorporated companies must fulfill is the filing of Form INC-20A, known as the Declaration for Commencement of Business. This form serves as a formal declaration that the company has received the subscription money for its shares and is ready to commence its business operations.

    What is INC 20A Filing?

INC 20A is a form prescribed by the Ministry of Corporate Affairs (MCA), Government of India. It is a mandatory declaration that a company has to file after incorporation and before starting business operations.

The form must be submitted by all companies having a share capital and incorporated on or after November 2, 2018.

In simple words, this form tells the government that:

    • The company has been legally registered.
    • The shareholders (also called subscribers) have paid for the shares they agreed to take.
    • The company is ready to start business.

This step ensures that shell companies are filtered out and only genuine businesses begin operations.

Who Needs to File INC 20A?

Any Private Limited Company, Public Company, or One Person Company (OPC) that:

    1. Was incorporated on or after November 2, 2018, and
    2. Has share capital
    3. needs to file Form INC 20A.

If your company does not have share capital (which is rare), this form is not applicable to you.
